General Terms and Conditions of Sale – Next Level Distribution B.V.

Article 1 – Definitions

  1. Next Level Distribution B.V.: the private limited company established at Weena 690, 3012 CN Rotterdam, the Netherlands.
  2. Client: any natural or legal person who enters into an agreement with Next Level Distribution B.V. or negotiates about one.
  3. Products: all goods, designs, prototypes, and materials supplied or developed by Next Level Distribution B.V.
  4. Agreement: any arrangement between Next Level Distribution B.V. and the client concerning the delivery of products or services.

Article 2 – Applicability

  1. These general terms and conditions apply to all quotations, agreements, deliveries, and services of Next Level Distribution B.V., unless agreed otherwise in writing.
  2. Deviations from these terms are valid only if confirmed in writing.
  3. The client’s general terms and conditions are explicitly rejected.

Article 3 – Quotations and Orders

  1. All quotations issued by Next Level Distribution B.V. are without obligation and valid for 30 days unless stated otherwise.
  2. An agreement is concluded once Next Level Distribution B.V. has confirmed the order in writing or has commenced its execution.
  3. Changes to an order may result in adjustments to the price and delivery time.

Article 4 – Design and Preparation Costs

  1. For developing a design, prototype, or customized product, design costs will always be charged, even if the final order does not proceed.
  2. These costs range from €100 to €350 depending on complexity.
  3. Costs are always discussed and confirmed in writing prior to the design process.
  4. Intellectual property rights remain the property of Next Level Distribution B.V., unless agreed otherwise in writing.

Article 5 – Prices and Payments

  1. All prices are exclusive of VAT, shipping costs, and – for deliveries outside the EU – import duties, customs fees, and local taxes.
  2. Any such import-related fees are entirely for the account of the client.
  3. Payment terms:
    • 50% upon order and 50% upon delivery, or
    • 100% prepayment with a 2% discount.
  4. Payments must be made within the invoice period without deduction or set-off.
  5. In case of late payment, statutory commercial interest will apply.

Article 6 – Delivery and Lead Time

  1. Delivery times are indicative and depend on timely approval of the design.
  2. Exceeding delivery time does not entitle the client to compensation or cancellation unless delay is unreasonably long and attributable to Next Level Distribution B.V.
  3. Delivery takes place ex-warehouse unless agreed otherwise.
  4. The risk transfers to the client upon delivery or dispatch.

Article 7 – Retention of Title

  1. All delivered products remain the property of Next Level Distribution B.V. until full payment is received.
  2. The client may not sell, pledge, or encumber products subject to retention of title.

Article 8 – Warranty and Liability

  1. Next Level Distribution B.V. guarantees conformity with agreed specifications.
  2. Complaints must be reported within 7 calendar days after delivery.
  3. Liability is limited to repair or replacement of the product, or refund of the invoice amount at the discretion of Next Level Distribution B.V.
  4. Liability for consequential damages or loss of profit is excluded.

Article 9 – Force Majeure

  1. Next Level Distribution B.V. is not liable for delays or failures due to force majeure.
  2. Force majeure includes (but is not limited to): war, natural disasters, fire, government measures, strikes, supplier delays, transport and communication failures.

Article 10 – Intellectual Property

  1. All design rights remain with Next Level Distribution B.V., unless agreed otherwise in writing.
  2. Reproduction or sharing with third parties is prohibited without prior written consent.

Article 11 – Applicable Law and Disputes

  1. Dutch law applies exclusively to all agreements.
  2. Disputes shall be submitted to the competent court in Rotterdam.

Article 12 – Returns and Custom-Made Products

  1. Standard products may only be returned if agreed in writing, unused and in original packaging.
  2. Custom-made and personalized products are excluded from any right of withdrawal, cancellation, and return, as they are produced to client specifications.
  3. Changes after production start may incur additional costs and extended delivery times.

Algemene Voorwaarden – Next Level Distribution B.V.

Artikel 1 – Definities

  1. Next Level Distribution B.V.: de besloten vennootschap gevestigd aan Weena 690, 3012 CN Rotterdam.
  2. Klant: iedere natuurlijke of rechtspersoon die een overeenkomst aangaat of onderhandelt met Next Level Distribution B.V.
  3. Producten: alle goederen, ontwerpen, prototypes en materialen die door Next Level Distribution B.V. worden geleverd of ontwikkeld.
  4. Overeenkomst: iedere afspraak omtrent de levering van producten of diensten.

Artikel 2 – Toepasselijkheid

  1. Deze voorwaarden zijn van toepassing op alle offertes, leveringen en diensten van Next Level Distribution B.V.
  2. Afwijkingen gelden alleen indien schriftelijk bevestigd.
  3. Algemene voorwaarden van de klant worden uitdrukkelijk afgewezen.

Artikel 3 – Offertes en Bestellingen

  1. Offertes zijn vrijblijvend en 30 dagen geldig.
  2. Een overeenkomst ontstaat na schriftelijke bevestiging of aanvang van uitvoering.
  3. Wijzigingen kunnen invloed hebben op prijs en levertijd.

Artikel 4 – Ontwerp- en Voorbereidingskosten

  1. Ontwerpkosten worden altijd berekend, ook wanneer er geen vervolgorder komt.
  2. Kosten variëren van €100 tot €350 afhankelijk van de complexiteit.
  3. Kosten worden vooraf schriftelijk overeengekomen.
  4. Intellectuele eigendom blijft bij Next Level Distribution B.V., tenzij anders overeengekomen.

Artikel 5 – Prijzen en Betalingen

  1. Prijzen zijn exclusief btw, verzendkosten en invoerrechten buiten de EU.
  2. Eventuele invoer- en douanekosten zijn voor rekening van de klant.
  3. Betaling: 50% bij bestelling en 50% bij levering, of 100% vooraf met 2% korting.
  4. Betaling zonder aftrek of verrekening en binnen factuurtermijn.
  5. Bij te late betaling geldt wettelijke handelsrente.

Artikel 6 – Levering en Levertijd

  1. Levertijden zijn indicatief.
  2. Geen recht op schadevergoeding bij overschrijding, tenzij onredelijk lang en toerekenbaar.
  3. Levering af magazijn, tenzij anders overeengekomen.
  4. Risico gaat over bij levering of verzending.

Artikel 7 – Eigendomsvoorbehoud

  1. Producten blijven eigendom van Next Level Distribution B.V. tot volledige betaling.
  2. Verkoop of verpanding van producten onder eigendomsvoorbehoud is niet toegestaan.

Artikel 8 – Garantie en Aansprakelijkheid

  1. Producten voldoen aan overeengekomen specificaties.
  2. Klachten binnen 7 dagen na ontvangst schriftelijk melden.
  3. Aansprakelijkheid beperkt tot herstel, vervanging of terugbetaling van de factuurwaarde.
  4. Geen aansprakelijkheid voor gevolgschade of winstderving.

Artikel 9 – Overmacht

  1. Geen aansprakelijkheid bij overmacht.
  2. Overmacht omvat o.a.: oorlog, natuurrampen, stakingen, problemen bij leveranciers, transport- of communicatieproblemen.

Artikel 10 – Intellectuele Eigendom

  1. Rechten op ontwerpen en prototypes blijven bij Next Level Distribution B.V., tenzij schriftelijk anders overeengekomen.
  2. Reproductie of verstrekking aan derden verboden zonder schriftelijke toestemming.

Artikel 11 – Toepasselijk Recht en Geschillen

  1. Nederlands recht is van toepassing.
  2. Geschillen worden uitsluitend voorgelegd aan de bevoegde rechter te Rotterdam.

Artikel 12 – Retourneren en Maatwerkproducten

  1. Retour van standaardproducten alleen indien vooraf schriftelijk overeengekomen en ongebruikt in originele verpakking.
  2. Maatwerkproducten zijn uitgesloten van herroepingsrecht, annulering en retour.
  3. Wijzigingen na start van productie kunnen extra kosten en vertraging veroorzaken.
